A clear understanding, before the invitation.

1. The service

GentsDay is a web service for organizing private group events. It provides tools for Host accounts, invitations, RSVPs, guest profiles, relationship submissions, seating, event details, communications, calendars, recaps, Crews, and related operations. Features may change as the service develops.

2. Eligibility and accounts

You must be at least 18 and legally able to agree to these Terms. Hosts are responsible for the activity under their authenticated sessions and must provide accurate contact information, protect sign-in links and codes, and notify GentsDay promptly of suspected unauthorized access. Guest invitation links are individual access credentials and should not be forwarded or published.

3. Host responsibilities

A Host is responsible for:

• having a lawful basis to invite and contact each guest;
• providing accurate event, safety, accessibility, cost, and cancellation information;
• configuring appropriate visibility and Co-host permissions;
• obtaining necessary consent for photographs, recaps, and persistent Crews;
• selecting lawful, reputable venues, suppliers, activities, and payment methods; and
• the conduct, operation, and financial commitments of the event itself.

A Co-host may help operate an event but does not become the primary Host unless ownership is properly transferred through the service.

4. Guest conduct and content

You retain ownership of text, photographs, and other content you submit. You give GentsDay a limited, non-exclusive license to host, process, resize, reproduce, and display that content only as needed to operate and improve the service, enforce these Terms, and comply with law. This license ends when the content is deleted, subject to reasonable backup, security, and legal retention.

You must have the rights and permissions needed for submitted content. Do not upload unlawful, threatening, deceptive, harassing, infringing, malicious, sexually exploitative, or dangerously executable material, or another person’s sensitive information without authorization.

5. Acceptable use

You may not:

• use GentsDay for unlawful events, harassment, discrimination, fraud, or unwanted bulk messaging;
• probe, bypass, disable, or interfere with access controls, rate limits, security, or service availability;
• scrape private events, collect guest information for unrelated purposes, or publish private invitation links;
• impersonate another person or misrepresent authority over an event;
• upload malware or use automated access beyond documented, authorized interfaces; or
• resell or white-label the service without written permission.

6. Event services and third parties

GentsDay does not own, operate, endorse, or control the venues, transport, activities, ticket sellers, payment services, map providers, calendar providers, or other third parties a Host may reference. A listing, link, estimated price, or Host note is informational and is not a guarantee of availability, safety, quality, accessibility, pricing, or suitability.

Hosts and guests enter any agreement with a venue or provider directly. Their terms, privacy practices, refund policies, and risk rules apply. Participation in travel, sporting, motorsport, nightlife, outdoor, or other event activities is voluntary and may involve risks that participants should assess themselves.

7. Communications

By using GentsDay, you agree to receive service, security, invitation, RSVP, and event-specific communications necessary for your account or participation. Guests may mute nonessential reminders where that control is offered. Transactional event messages are not marketing. You can stop future event messages by declining, muting, asking the Host to remove you, or contacting us.

8. Suspension and termination

You may stop using GentsDay and use available deletion controls at any time. We may restrict or terminate access when reasonably necessary to protect guests, Hosts, the service, or third parties; respond to legal requirements; prevent abuse; or address a material breach of these Terms. Where practical, we will give notice and an opportunity to export appropriate data.

9. Intellectual property

GentsDay and its software, design, branding, and original service materials are protected by intellectual property laws. Except for the limited right to use the service under these Terms, no rights are transferred. Feedback may be used without restriction or compensation, but we will not intentionally publish private event information as feedback.

10. Service availability and disclaimers

GentsDay is provided on an “as available” basis. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not promise uninterrupted availability, perfect delivery of every message, error-free seating suggestions, or the accuracy of information supplied by Hosts, guests, or third parties. Seating and introduction suggestions are aids for Host judgment, not scientific or professional assessments.

Nothing in these Terms excludes a warranty or right that applicable law does not allow to be excluded.

11. Limitation of liability

To the maximum extent permitted by law, GentsDay will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, event cancellation, third-party conduct, or personal injury arising from an event or external provider. Any aggregate liability arising from the service will not exceed the greater of the amount you paid GentsDay in the twelve months before the claim or US$100.

These limitations do not apply where prohibited or to liability that cannot lawfully be limited.

12. Changes and general terms

We may update these Terms as the service changes. Material updates will be identified by a revised effective date and, where appropriate, notice through the service. Continued use after an update takes effect means you accept the revised Terms.

If a provision is unenforceable, the remaining provisions remain in effect. A delay in enforcing a provision is not a waiver. You may not transfer these Terms without our consent; GentsDay may transfer them in connection with a reorganization, financing, merger, sale, or continuation of the service. Applicable mandatory consumer protections remain unaffected.
